MONTHLY SUBSCRIPTION AGREEMENT

1. AGREEMENT SUMMARY: ​Client agrees to purchase services on a monthly basis. The monthly charge shall accrue from the time the client receives Moja Smart Technology and last until the client requests termination. Moja Smart Selling Technology, LLC. cannot be held liable for any interruptions of the provided services, but will give the best effort to keep services functional at all times.

2. PAYMENT ON FILE: ​ Client hereby certifies that the credit or debit card supplied for payment is their own account or that they are fully authorized to provide this account to Moja Smart Selling Technology LLC as payment for the service. Client understands that Moja Smart Selling Technology LLC may retain this card as payment for future charges based on the service terms set forth in this agreement. If at any time the card becomes expired or canceled, the client shall provide a new card or account at Moja Smart Selling Technology LLC request. Client will be notified if their credit or debit  card fails to authorize for any reason, and that that Moja Smart Selling Technology LLC  has the right to terminate its services should they fail to provide them with a new and valid credit card number within a reasonable time and no later than 14 days from the last payment collection date.

3. PAYMENT AFTER INITIAL TERM: ​ The client understands that, should they elect to continue services longer than the initial invoice, they will accrue monthly service costs based on that invoice. that Moja Smart Selling Technology LLC reserves the right to charge these additional and subsequent months to the credit card on file or to bill monthly or quarterly by invoice. that Moja Smart Selling Technology LLC. has the responsibility to notify the client of the end of the initial service period in a manner that is understood by the client that Moja Smart Selling Technology LLC will also make a best effort to notify the client before making any changes to the client's credit card on file if one exists that Moja Smart Selling Technology LLC reserves the right to withhold charging the client for months that the camera is inoperable or inactive for whatever reason if services are not requested to be discontinued.

4. TERMINATION FOR NON­PAYMENT:​ The client understands that any smart selling technology purchased may become inoperable with  Moja Smart Selling Technology LLC servers and may be disconnected if the client fails to pay for whatever reason. They also understand that Moja Smart Selling Technology LLC shall be in no way liable for any damages caused to their business by the terminations of such services. Moja Smart Selling Technology LLC reserves the right to terminate services at any time for any account in delinquency.

 

5. CLIENT TERMINATION: ​ The client understands that if they wish to cancel this monthly service charge with Moja Smart Selling Technology LLC they can do so at any time after the initial term by email at SUPPORT@MOJA.COM

6. SERVICE TERM: ​ The service will start on the day payment is received and marketing materials have been reviewed and accepted by Moja Smart Selling Technology LLC.

6.1 REFUND POLICY- All transactions are NONREFUNDABLE unless Moja Smart Selling Technology LLC. deems itself to be negligent in the processing and creation of marketing materials.

 

7. SERVICE PAYMENTS: ​ Client agrees to pay to that Moja Smart Selling Technology LLC. for services rendered for each month that Moja Smart Technology is active according to clause 6 (SERVICE TERM).

8. USE OF SERVICE: ​ Client agrees that they are satisfied with the instruction given that Moja Smart Selling Technology LLC in the proper manner of using the services or that you are familiar and told that Moja Smart Selling Technology LLC that you were. Client further agrees that the services will be used for the purpose for which the service was intended. Moja Smart Selling Technology LLC, Moja Realty, Moja Enterprises has introduced a zero tolerance. Our products are designed with every person in mind. We understand that there are some individuals that will try to abuse our platform. Our company has a zero tolerance policy and will not allow our technology to be used for racism of any kind, religious hatred of any kind, gender bashing, sexual orientation, child pornography, gang affiliations, or any other type of despicable acts that our company feels goes against our company beliefs. Any despicable act that we deem that is beyond any scope of tolerance we here at Moja Smart Selling Technology will turn over the submitted video or information from any individual or group to the proper authorities. We here at Moja Smart Selling Technology, Moja Realty, Moja Enterprises want our products to be used for good and to promote individual success or company success.

9. NO WARRANTY ON SERVICE: ​ Moja Smart Selling Technology LLC makes no warranties, express or implied, including without limitation, any implied warranty of merchantability of fitness for a particular purpose to the client in connection with its use of the service. In no event shall Moja Smart Selling Technology LLC be liable for incidental or consequential damages to the full extent the same may be disclaimed by law. Customer acknowledges that service interruptions will occur from time to time and agrees to Moja Smart Selling Technology LLC harmless for all such interruptions.

10. AGREEMENT TO TERMS:​  By submitting your order and submitting your marketing materials to Moja Smart Selling Technology LLC products and/or services and support described on that invoice, Customer agrees to be bound by and accept all these terms and conditions.

 

11. MOJA SMART SELLING TECHNOLOGY LLC SHALL NOT BE LIABLE TO THE CUSTOMER IN RESPECT OF ANY EVENT OF DEFAULT FOR THE FOLLOWING EVEN IF SUCH LOSS WAS REASONABLY FORESEEABLE OR MOJA SMART SELLING TECHNOLOGY LLC HAD BEEN ADVISED OF THE POSSIBILITY OF THE CLIENT INCURRING THE SAME:


11.1    LOSS OF PROFITS, BUSINESS, REVENUE, OPPORTUNITY OR ANTICIPATED SAVINGS; 
11.2    LOSS OF GOODWILL, OR INJURY TO REPUTATION;
11.3    LOSS OF DATA AND/OR LOSS OF USE OF ANY DATA; 
11.4    ANY MULTIPLE, PUNITIVE OR EXEMPLARY DAMAGES; AND/OR
11.5    ANY TYPE OF INDIRECT OR CONSEQUENTIAL OR SPECIAL LOSS OR DAMAGE.
